  2.     WEBSTER IMAGE SOFTWARE LICENSE AGREEMENT

  4. 1.    GRANT OF LICENSE.  Webster Image grants to you the right
  5.     to use and  to reproduce  and distribute  this  Software
  6.     provided  that  (i) the  Software  is  not   distributed
  7.     for  profit;  (ii)  the  Software  may  NOT be modified;
  8.     (iii) all  copyright  notices   are  maintained  on  the
  9.     Software; (iv) the licensee/end user agrees  to be bound
  10.     by the terms of  this Agreement;  (v) Software  is being
  11.     distributed in  the  original setup-ready configuration.

  13. 2.    SHAREWARE STATUS.  This  Software  is  a  Shareware. You
  14.     may use the program  free  of charge  for 14  days after
  15.     which  period  you  must  either  register  or remove it
  16.     from your computer.
  17.  
  18. 3.    COPYRIGHT.  The  Software is owned by Webster Image  and
  19.     is  protected  by   United  States  copyright  laws  and
  20.     international treaty  provisions. You may not remove the
  21.     copyright notice from any  copy of the  Software or  any
  22.     copy of  the  written materials,  if  any,  accompanying
  23.     the Software.

  25. 4.    OTHER RESTRICTIONS. This Webster Image License Agreement
  26.     is  your proof of license to exercise the rights granted
  27.     herein  and must be  retained  by you.  You may not rent
  28.     or lease the Software. You  may  not  reverse  engineer,
  29.     decompile or disassemble the Software.
  30.  
  31.     NO WARRANTY.  ANY USE BY YOU OF THE  SOFTWARE IS AT YOUR
  32.     OWN RISK.  THE  SOFTWARE  IS PROVIDED  FOR USE ONLY WITH 
  33.     MICROSOFT(R) WINDOWS 95(R)  AND  RELATED SOFTWARE.  THE 
  34.     SOFTWARE  IS PROVIDED  FOR USE "AS IS"  WITHOUT WARRANTY 
  35.     OF ANY KIND.  TO THE  MAXIMUM  EXTENT  PERMITTED BY LAW, 
  36.     WEBSTER  IMAGE  DISCLAIMS ALL  WARRANTIES OF  ANY  KIND,  
  37.     EITHER EXPRESS OR IMPLIED,INCLUDING, WITHOUT LIMITATION,
  38.     IMPLIED WARRANTIES OF MERCHANTABILITY  AND FITNESS FOR A
  39.     PARTICULAR  PURPOSE. WEBSTER  IMAGE IS  NOT OBLIGATED TO
  40.     PROVIDE ANY UPDATES TO THE SOFTWARE.

  42.     NO  LIABILITY FOR  CONSEQUENTIAL DAMAGES.  In  no  event
  43.     shall  Webster Image  or its suppliers be liable for any
  44.     damages  whatsoever  ( including,   without  limitation,
  45.     incidental, direct, indirect  special and  consequential
  46.     damages, damages for loss of business  profits, business
  47.     interruption, loss of  business  information,  or  other
  48.     pecuniary loss) arising  out  of the use or inability to
  49.     use  this Webster Image  product, even  if Webster Image
  50.     has been  advised of the possibility  of  such  damages.
  51.     Because some states/countries do not allow the exclusion
  52.     or limitation of liability for  consequential/incidental
  53.     damages, the above limitation  may not apply to you.

  55.     INDEMNIFICATION BY YOU.  If you distribute  the Software
  56.     in violation of this Agreement, you agree to  indemnify,
  57.     hold harmless and defend Webster Image from  and against
  58.     any claims or lawsuits, including  attorney's  fees that
  59.     arise  or result  from the  use or  distribution  of the
  60.     Software in violation of this Agreement.

  63. U.S. GOVERNMENT RESTRICTED RIGHTS
  64.  
  65. The Software and documentation are provided with RESTRICTED RIGHTS.
  66. Use, duplication, or disclosure by the Government is subject to
  67. restrictions as set forth in subparagraph 
  68. (c)(1)(ii) of The Rights in Technical Data and Computer Software 
  69. clause at DFARS 252.227-7013 or subparagraphs 
  70. (c)(1) and (2) of the Commercial Computer Software - 
  71. Restricted Rights at 48 CFR 52.227-19, as applicable.
